TERMS OF SERVICE (KNOA)

These Terms of Service (“Terms”) govern your access to and use of the KNOA mobile application (the “App”) and related services (together, the “Services”). The Services are operated by UpWise Tech Limited (“UpWise”, “we”, “our”, or “us”).

By downloading, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.


1) Eligibility (18+ Only)

KNOA is offered only to users who are 18 years of age or older. By using the Services, you represent and warrant that you are at least 18.


2) Account and Sign-In (Apple/Google Only)

You can access KNOA using Sign in with Apple or Sign in with Google.

You agree to:

  • provide accurate information available through your chosen sign-in method;

  • maintain the security of your device and sign-in credentials; and

  • notify us promptly if you suspect unauthorized access to your account.

We may suspend or terminate access if we reasonably believe your account has been compromised or used in violation of these Terms.


3) Subscription, Billing, and Free Trials

3.1 Subscriptions only; App Store / Google Play only

KNOA is a subscription-only service. All subscription purchases, renewals, cancellations, and refunds are handled by:

  • Apple App Store (iOS), or

  • Google Play Store (Android)

We do not process payments directly and do not store your card details.

3.2 Auto-renewal

Unless you cancel before the end of the current billing period, your subscription may auto-renew at the then-current price, as managed by Apple/Google. You can manage or cancel your subscription through your App Store / Google Play account settings.

3.3 Refunds

Refunds (if any) are governed by Apple/Google’s refund policies and processes. We cannot override their decisions.

3.4 Pricing changes

Subscription prices may change as permitted by Apple/Google and applicable law. If a price change affects you, Apple/Google may notify you and/or require you to accept the change.


4) The Service and Learning Content

KNOA provides micro-learning content and tools intended for general informational and educational purposes.

We may update, modify, suspend, or discontinue any part of the Services at any time, including features, content, or availability, for operational, legal, or business reasons.


5) Acceptable Use

You agree not to:

  • use the Services for any illegal purpose;

  • attempt to access or interfere with non-public parts of the Services;

  • copy, scrape, reverse engineer, decompile, or attempt to extract source code except where prohibited by law;

  • bypass or disable security or access controls;

  • upload or transmit viruses, malware, or harmful code;

  • abuse, harass, or harm other users; or

  • use the Services in a way that could damage, disable, or impair them.

We may investigate and take action for violations, including removing content, suspending access, or terminating accounts.


6) User Content (If You Submit Any)

If the App allows you to submit content (e.g., feedback, notes, or messages) (“User Content”), you:

  • are responsible for your User Content;

  • represent that you have the rights to submit it; and

  • grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display it only to operate, improve, and provide the Services (and as otherwise required by law).

We are not responsible for User Content posted or stored through the Services, to the extent permitted by law.


7) Intellectual Property

The Services (including the App, designs, text, graphics, logos, audio, videos, and other content) are owned by UpWise or its licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, personal, non-transferable, non-exclusive, revocable license to use the Services for your own non-commercial purposes.

You may not use our trademarks, branding, or content without our prior written permission.


8) Third-Party Services

The Services rely on third-party platforms and services, including:

  • Apple and Google (for sign-in and app distribution);

  • Apple App Store / Google Play (for subscriptions).

Your use of those third-party services is governed by their terms and policies. We are not responsible for third-party services or outages beyond our control.


9) Privacy

Our collection and use of personal data is described in our Privacy Policy. By using KNOA, you acknowledge you have read it.


10) Disclaimers

To the maximum extent permitted by law:

  • The Services are provided “as is” and “as available.”

  • We do not guarantee that the Services will be uninterrupted, error-free, or always available.

  • KNOA content is educational and informational; it is not professional advice (legal, medical, financial, etc.). You are responsible for how you use the information.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.


11) Limitation of Liability

To the maximum extent permitted by law, UpWise and its directors, employees, and partners will not be liable for:

  • indirect, incidental, special, consequential, or punitive damages;

  • loss of profits, data, goodwill, or business opportunities;

    arising out of or related to your use of the Services.

If liability cannot be excluded, our total liability for all claims will be limited to the amount you paid (if any) to access the Services in the 12 months before the event giving rise to the claim (or the minimum required by law, if greater).


12) Termination

You may stop using the Services at any time and may cancel your subscription via the App Store / Google Play settings.

We may suspend or terminate your access if you violate these Terms, if required by law, or if we reasonably believe your use poses security, legal, or operational risk.

Termination does not affect your obligations under these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and dispute terms).


13) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the App or other reasonable means. Continued use of the Services after updates means you accept the revised Terms.


14) Governing Law and Disputes

These Terms are governed by the laws of Hong Kong, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Hong Kong, unless applicable consumer protection laws in your jurisdiction require otherwise.

16) Apple/Google Platform Notice (Standard)

If you downloaded the App from the Apple App Store or Google Play:

  • Apple/Google are not responsible for the Services or content.

  • Any claims relating to the App should be directed to UpWise, not Apple/Google, except as required by platform policies.
